Welcome to Ocean Call ("Ocean Call," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of the Ocean Call platform, website, software, APIs, and related services (collectively, the "Services").
By creating an account, accessing, or using the Services, you agree to these Terms.
1. Eligibility
You must be at least 18 years old and authorized to act on behalf of a lodging property, hospitality business, or other organization using the Services.
By using Ocean Call on behalf of a business, you represent that you have authority to bind that business to these Terms.
2. Ocean Call Services
Ocean Call provides hospitality software tools, including but not limited to:
- Property management functionality
- Reservation and booking management
- Guest communication tools
- Payment integrations
- Reporting and operational tools
- Channel and third-party integrations
- Website booking functionality
- Automation and AI-assisted workflows
Ocean Call is a software platform only and is not a travel agency, hotel operator, payment processor, or merchant of record for property reservations unless explicitly stated otherwise.
3. Merchant of Record and Payments
Properties using Ocean Call are solely responsible for:
- Charges to guests
- Refunds
- Taxes
- Chargebacks
- Compliance with applicable laws
- Reservation fulfillment
- Guest disputes
Ocean Call facilitates payments through third-party payment processors, including Stripe and Stripe Connect.
Stripe Connect
By using payment features within Ocean Call, you authorize Ocean Call to facilitate onboarding with Stripe Connect and related payment services.
The lodging property or business using Ocean Call remains the merchant of record for guest transactions unless otherwise expressly agreed in writing.
Ocean Call does not hold customer funds, provide banking services, or process payments directly.
Your use of Stripe services is subject to Stripe's Connected Account Agreement, Stripe Services Agreement, and applicable financial regulations.
Ocean Call is not responsible for payment processor outages, delayed payouts, banking failures, chargebacks, fraud committed by guests or properties, or payment disputes.
4. OTA and Third-Party Integrations
Ocean Call may integrate with third-party services including:
- Booking platforms
- Online travel agencies ("OTAs")
- Channel managers
- Payment processors
- Messaging providers
- Mapping providers
- AI providers
Ocean Call does not guarantee uninterrupted synchronization, reservation accuracy, OTA uptime, pricing parity, or inventory consistency across platforms.
Properties are responsible for monitoring reservations, inventory, and rates across all distribution channels.
Ocean Call is not liable for overbookings, missed reservations, synchronization delays, third-party API outages, or inaccurate third-party data.
5. Acceptable Use
You agree not to:
- Use the Services unlawfully
- Interfere with system security
- Attempt unauthorized access
- Upload malicious code
- Scrape or reverse engineer the platform
- Use Ocean Call to facilitate fraud or deceptive practices
We may suspend or terminate accounts violating these Terms.
6. AI and Automated Features
Ocean Call may provide AI-assisted or automated features including guest messaging, summaries, recommendations, and workflow automation.
AI-generated outputs may be inaccurate or incomplete and should be reviewed before use.
Ocean Call does not guarantee the accuracy of AI-generated content.
7. Data Ownership
You retain ownership of property data, reservation information, guest communications, and uploaded content.
You grant Ocean Call a limited license to use this data solely to operate, maintain, and improve the Services.
8. Service Availability
Ocean Call strives to maintain reliable service but does not guarantee uninterrupted availability.
Maintenance, outages, third-party failures, or internet disruptions may affect the Services.
9. Limitation of Liability
To the maximum extent permitted by law, Ocean Call shall not be liable for lost revenue, lost bookings, overbookings, business interruption, indirect damages, consequential damages, data loss, or third-party failures.
Ocean Call's total liability shall not exceed the fees paid to Ocean Call during the twelve (12) months preceding the claim.
10. Indemnification
You agree to indemnify and hold harmless Ocean Call and its affiliates from claims arising out of your property operations, guest disputes, payment disputes, tax obligations, misuse of the Services, or violations of law.
11. Termination
You may stop using the Services at any time.
Ocean Call may suspend or terminate access for violations of these Terms, fraud, abuse, security concerns, or legal compliance.
12. Modifications
We may update these Terms periodically. Continued use of the Services constitutes acceptance of updated Terms.
13. Governing Law
These Terms shall be governed by the laws of the State of Iowa, without regard to conflict of law principles.
